Common use of Authority and Authorization Clause in Contracts

Authority and Authorization. On or prior to the Closing Date, all corporate action required to be taken by the Company for the sale and delivery of the Shares, the execution and delivery by the Company of this Agreement and the consummation of the transactions contemplated by this Agreement to be completed have been validly taken to the extent required to be taken as of the date hereof.
