AUTHORITY AND APPROVAL OF AGREEMENT. (a) The execution and delivery of this Agreement by the Corporation and the performance of all the Corporation's obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of the Corporation pursuant to applicable law. The Corporation has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.
AUTHORITY AND APPROVAL OF AGREEMENT. (a) The execution and delivery of this Agreement by MIOA and the performance of all MIOA's obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of MIOA pursuant to applicable law. MIOA has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.
AUTHORITY AND APPROVAL OF AGREEMENT. (a) The execution and delivery of this Agreement by Bedrock and the performance of all Bedrock's obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of Bedrock pursuant to applicable law. Bedrock has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.

(a) The execution and delivery of this Agreement by the Companies and the performance of their obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of the Companies pursuant to applicable law., the Companies have the power and authority to execute and deliver this Agreement and to perform all their obligations hereunder.

Xxxxxx has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.
AUTHORITY AND APPROVAL OF AGREEMENT. The execution and delivery by the Company of this Agreement and the performance by the Company of all of its obligations hereunder, including the issuance of the Common Shares, has been duly and validly authorized and approved by the Company and its board of directors (or a duly authorized committee thereof) pursuant to all applicable laws and no other corporate action on the part of the Company, its board of directors, stockholders or any other person is necessary or required by the Company to execute this Agreement, perform all of the Company’s obligations hereunder, or to issue the Common Shares.

Pursuant to said authorization and approval, the Transferor has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.

Medical has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.

(a) The execution and delivery of this Agreement by Purchaser and the performance of all Purchaser obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of Purchaser pursuant to applicable Law. Purchaser has the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.
AUTHORITY AND APPROVAL OF AGREEMENT. (a) The execution and delivery of this Agreement by UIS Brazil and the UIS Brazil Shareholders and UIS and the UIS Shareholder, and the performance of all its respective obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of the UIS Brazil and the UIS Brazil Shareholders and UIS and the UIS Shareholder pursuant to applicable Law, which included unanimous approval by their respective Boards of Directors and their Shareholders, and said authorization and approval has not been altered, amended or revoked. Pursuant to said authorization and approval, UIS Brazil and the UIS Brazil Shareholders and UIS and the UIS Shareholder have the power and authority to execute and deliver this Agreement and to perform all its obligations hereunder.
