Common use of Authentication of the Owner Trust Certificate Clause in Contracts

Authentication of the Owner Trust Certificate. Concurrently with the acquisition of the Grantor Trust Certificate by the Trust, the Owner Trustee or the Certificate Paying Agent shall cause the Certificate in an initial aggregate Certificate Percentage Interest of 100.00% to be executed on behalf of the Trust, authenticated and delivered to or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, without further corporate action by the Depositor, in the authorized denomination. The Owner Trust Certificate shall not entitle its holder to any benefit under this Owner Trust Agreement or be valid for any purpose unless there shall appear on the Owner Trust Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or the Certificate Paying Agent, by manual signature; such authentication shall constitute conclusive evidence that the Owner Trust Certificate shall have been duly authenticated and delivered hereunder. The Owner Trust Certificate shall be dated the date of its authentication.
