Common use of Audited Clause in Contracts

Audited. The Company has delivered to Parent copies of Company’s audited financial statements for the fiscal years ended December 31, 2003, 2004, and 2005, together with the notes thereto (the “Audited Financial Statements”). The Audited Financial Statements were prepared in accordance with GAAP consistently applied throughout the period indicated, are correct and complete and fairly present the financial position and condition of the Company at the date thereof and the results of operations of the Company for the period covered thereby, and contain no material misstatements or omissions.

Audited. The Company has delivered to Parent copies of Company’s audited consolidated financial statements as of and for the fiscal years ended December 31, 20032009, 20042008, and 20052007, together with the notes thereto (the “Audited Financial Statements”). The Audited Financial Statements were prepared in accordance with GAAP consistently applied throughout the period periods indicated, are correct and complete and fairly present the financial position and condition of the Company at the date dates thereof and the results of operations of the Company for the period periods covered thereby, and contain no material misstatements or omissions.
