Common use of AUDIT OF RECORDS AND PROCEDURES Clause in Contracts

AUDIT OF RECORDS AND PROCEDURES. ================================== Upon [number (#)] days written notice, The Reinsurer and The Equitable each shall have the right to examine, at the office of the other, during the normal business hours of the party being audited, all records and procedures relating to reinsurance under this Agreement. The expenses of any such audit shall be born by the party initiating the audit. The information obtained by the auditing party shall be treated as confidential material and proprietary to the other party and shall be used only for purposes relating to the reinsurance under this Agreement. The terms of this Section shall survive termination of this Agreement.
