Common use of Audit Notice Clause in Contracts

Audit Notice. In order to initiate an audit for a particular Calendar Year, the Auditing Party will provide to the Audited Party at least [***] prior written notice of such audit. The Audited Party will, and will ensure that its Affiliates, reasonably accommodate the scheduling of such audit. The Audited Party will, and will ensure that its Affiliates, provide the Auditing Party with full access to the applicable books and records and otherwise reasonably cooperate with such audit.

The Audited audited Party willshall, and will shall ensure that its AffiliatesAffiliates and sublicensees, reasonably accommodate the scheduling of such audit. The Audited audited Party willshall, and will shall ensure that its AffiliatesAffiliates and sublicensees, provide the Auditing Party Auditor with full reasonable access to the applicable books and records for such period and otherwise reasonably cooperate with such audit.
