Attention Required Sample Clauses

Attention Required. Notwithstanding any provision of this Agreement to the contrary, the Bank agrees that Executive shall be required to expend only so much time and attention as may be reasonably required to provide the post-retirement services contemplated herein, but in no event more than 20% of the average time previously expended in his capacity as Regional President of the Bank, it being intended that Executive shall be deemed “separated from service” as contemplated under Section 409A(a)(2)(A)(ii) of the Internal Revenue Code of 1986, as amended (the “Code”), and the regulations promulgated thereunder, as of his Retirement Date.
