At Option Completion Sample Clauses
At Option Completion. 4.2.1 Marconi shall deliver to RTS a transfer or transfers in respect of the Option Securities duly completed in favour of RTS (or as it may direct) together with the certificate(s) for the Option Securities; and
4.2.2 following delivery of the documents referred to in paragraph 4.2.1, RTS shall pay the Option Consideration to Marconi (or to such other person as Marconi may direct).
At Option Completion. 8.14.1 4R shall pay or procure the payment of the Consideration to the Option Shareholders (as appropriate) by telegraphic transfer into an account nominated by the relevant Option Shareholder in writing prior to such transfer; and
8.14.2 each Option Shareholder shall deliver to 4R:-
8.14.2.1 a stock transfer form or stock transfer forms in respect of its Option Shares duly completed and executed in favour of 4R (or such other person(s) as it may direct);
8.14.2.2 share certificate(s) in respect of the Option Shares; and
8.14.2.3 a waiver of any applicable pre-emption rights, duly signed by (or on behalf of) all members of the Company.
At Option Completion. 4.4.1. the Sellers shall comply with their obligations in Schedule 3; and
4.4.2. the Buyer shall (subject to the Sellers’ compliance with their obligations in Schedule 3):
(a) pay the Remaining Purchase Price in accordance with clause 3.1.2(a)(i); and
(b) deliver to the Sellers a copy of the resolution adopted by the shareholder(s) of the Buyer approving the execution and delivery of any documents to be delivered by the Buyer at Option Completion.
