Common use of Assumption Clause in Contracts

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligations.

Assumption. By virtue of its acceptance and its execution of this Assignment, Assignee hereby accepts the foregoing assignment assumes, covenants, and assumes agrees to perform all of the rights terms, covenants, and obligations of the Agreement required to be performed on the part of the Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligationstherein.

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to paragraph 1 above and does hereby assume, and undertake and agree to hereafter pay, perform and discharge in accordance with their terms any and all of the rights liabilities, obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and ObligationsRights.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignor's right, title, interest and obligations of Assignor in, to and under the Underlying Agreement with respect Lease and agrees to abide by the Assigned Rights terms and Obligationsconditions thereof as if Assignee were the original lessee thereunder.

Assumption. Assignee hereby accepts the foregoing such assignment and assumes agrees to assume, from and after the Assignment Date, all of the rights Assignor’s rights, duties, and obligations of Assignor in, to and under the Underlying Agreement with respect to the Assigned Rights and ObligationsLetter Agreement.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsAgreement.

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to Paragraph 1 above and does hereby assume, and undertake and agree to hereafter pay, perform and discharge in accordance with their terms any and all of the rights liabilities, obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and ObligationsRights.

Assumption. Assignee hereby accepts the foregoing assignment and fully assumes all of the rights Assignor’s right, title, interest, duties and obligations of Assignor obligations, whether heretofore or hereafter arising, under the Underlying Agreement with respect and pursuant to the Assigned Rights ▇▇▇▇▇ Development Agreements, including, without limitation, any and Obligationsall Plans and approvals related thereto.

Assumption. Assignee hereby accepts the foregoing assignment Assignment and assumes agrees to assume all of the rights and Assignee’s obligations of Assignor under the Underlying Agreement with respect Agreement, all pursuant to the Assigned Rights terms and Obligationsconditions set forth in the Agreement arising from and after the date hereof.

Assumption. Assignee hereby accepts the foregoing assignment and transfer and hereby assumes all of the rights liabilities and obligations of Assignor associated with and arising under the Underlying Agreement with respect to the Assigned Rights and ObligationsPermits.

Assumption. Assignee does hereby accepts the foregoing assignment and assumes assume all of the rights Assignor’s rights, responsibilities, liabilities and obligations of Assignor under the Underlying Agreement with respect Agreements and agrees to perform and observe all of Assignor’s covenants, responsibilities, and conditions contained in the Assigned Rights and ObligationsAgreements.

Assumption. Subject to the terms and conditions set forth in the Contribution Agreement, Assignee hereby accepts Assignor’s assignment of the foregoing assignment Assigned Agreements and hereby assumes all of the rights and obligations of the Assignor under the Underlying Agreement with respect to each of the Assigned Rights and ObligationsAgreements.

Assumption. The Assignee hereby accepts the foregoing assignment and assumes all transport of the rights Rights Assigned by the Assignee in accordance with paragraph 1 above and obligations assumes, and undertakes and agrees to pay, perform and comply on its terms with each and every liability, obligation and commitment of Assignor under the Underlying Agreement with respect Assignee relating to the Assigned Rights and ObligationsRights.

Assumption. Assignee hereby accepts the foregoing assignment by Assignor of all of Assignor's right, title and interest in and to the Lease and Assignee hereby assumes all of the rights and obligations of Assignor under the Underlying Agreement with respect to Lease accruing from and after the Assigned Rights and Obligationsdate of this Assignment.

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to Section 2 above and does hereby assume, and undertake and agree to hereafter perform in accordance with their terms, any and all of the rights obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and Obligationsbe bound by and subject to the terms and conditions of the Registration Rights Agreement.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignor’s duties and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights Interests (whether such duties and Obligationsobligations arise under the relevant organizational documents of the Partnership or applicable law).

Assumption. Assignee hereby assumes and accepts the foregoing assignment and assumes all of the rights rights, interests, duties, liabilities and obligations of Assignor from and under the Underlying Agreement with respect to Easements from and after the Assigned Rights and Obligationseffective date of this Assignment.

Assumption. Assignee hereby accepts the foregoing such assignment and assumes agrees to assume all of the rights Assignor's rights, duties and obligations of Assignor under the Underlying Agreement with respect to accruing on or after the Assigned Rights and ObligationsEffective Date.

Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignors’ duties and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights Interests (whether such duties and Obligationsobligations arise under the relevant organizational documents of the Partnership or applicable law).

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to paragraph 1 above and does hereby assume, and undertake and agree to hereafter pay, perform and discharge in accordance with their terms any and all of the rights liabilities, obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and Obligationsas of the Effective Date.

Assumption. Assignee hereby accepts the foregoing assignment of, and assumes assumes, Assignor’s right, title and interest in and to the Contract and agrees to be bound by and subject to all of the rights terms, covenants and obligations conditions of Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsContract.

Assumption. Assignee hereby accepts the foregoing assignment and transfer and hereby assumes all of the rights liabilities and obligations of Assignor associated with and arising under the Underlying Agreement with respect to the Assigned Rights and ObligationsEasements.

Assumption. Assignee hereby accepts the foregoing assignment and transfer and hereby assumes all of the rights liabilities and obligations of Assignor associated with and arising under the Underlying Agreement with respect to the Assigned Rights and ObligationsAgreements.

Assumption. By acceptance of this Assignment, Assignee hereby accepts the foregoing assignment agrees to assume and assumes perform any and all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights Contracts from and Obligationsafter the date hereof, and such obligations shall be binding on Assignee, and its successors and assigns.

Assumption. Assignee hereby accepts the foregoing assignment and assumes agrees to assume and perform all of the rights duties, responsibilities, and obligations of Assignor under the Underlying Original Agreement with respect to as of the Assigned Rights and ObligationsEffective Date.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assigned Rights and obligations of Obligations, and agrees to be bound by the same terms and conditions in the Indemnification Agreement that apply to Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligations.

Assumption. The Assignee hereby assumes and accepts the foregoing assignment and assumes all of the rights Assignor’s right, title and interest in, to and under, and all of Assignor’s duties, liabilities and obligations of Assignor under the Underlying Agreement with respect to or pursuant to, the Assigned Rights Agreements, except for the Retained Liabilities, and Obligationsagrees to perform under and be bound by the terms of the Assigned Agreements.

Assumption. Assignee hereby expressly accepts the foregoing such assignment and assumes the performance of all of the rights and obligations of imposed upon the Assignor under the Underlying Agreement with respect to Lease and all amendments thereof, which accrue from and after the Assigned Rights and Obligationsdate hereof.

Assumption. Assignee hereby accepts the foregoing assignment of, and assumes Assignor’s right, title and interest in and to the Lease and agrees to be bound by and subject to all of the rights terms, covenants and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligationsconditions thereof.

Assumption. Assignee hereby accepts the foregoing assignment and agrees to be bound by all the terms, conditions, covenants, and provisions of this Assignment, and assumes and agrees to observe, perform, pay, comply with and discharge all of the rights and obligations of Assignor under the Underlying Agreement Assignor, in the place and stead of Assignor, with respect to the Assigned Rights and ObligationsPartnership Interest.

Assumption. Assignee does hereby accepts the foregoing assignment accept and assumes assume all of the rights Assignor’s rights, duties, obligations, and obligations of Assignor interest as Declarant under the Underlying Agreement with respect to the Assigned Rights and ObligationsDeclaration.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights agrees to be bound by and obligations perform each and every obligation of Assignor under the Underlying Agreement with respect to the Assigned Rights Lease and ObligationsOption.
