Common use of Assumption Clause in Contracts

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligations.

Assumption. The Assignee hereby accepts the foregoing assignment assumes and assumes agrees to perform all of the rights and Assignor’s obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsContract.

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to paragraph 1 above and does hereby assume, and undertake and agree to hereafter pay, perform and discharge in accordance with their terms any and all of the rights liabilities, obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and ObligationsRights.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsAgreement.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignor’s obligations, duties and obligations of Assignor liability under the Underlying Agreement with respect to the Assigned Rights and ObligationsAgreement.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignor's right, title, interest and obligations of Assignor in, to and under the Underlying Agreement with respect Lease and agrees to abide by the Assigned Rights terms and Obligationsconditions thereof as if Assignee were the original lessee thereunder.

Assumption. Assignee hereby accepts the foregoing such assignment and assumes agrees to assume, from and after the Assignment Date, all of the rights Assignor’s rights, duties, and obligations of Assignor in, to and under the Underlying Agreement with respect to the Assigned Rights and ObligationsLetter Agreement.

Assumption. Assignee hereby accepts the foregoing assignment of, and assumes assumes, Assignor’s right, title and interest in and to the Contract and agrees to be bound by and subject to all of the rights terms, covenants and obligations conditions of Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsContract.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assigned Rights and obligations of Obligations, and agrees to be bound by the same terms and conditions in the Indemnification Agreement that apply to Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligations.

Assumption. The Assignee hereby assumes and accepts the foregoing assignment and assumes all of the rights Assignor’s right, title and interest in, to and under, and all of Assignor’s duties, liabilities and obligations of Assignor under the Underlying Agreement with respect to or pursuant to, the Assigned Rights Agreements, except for the Retained Liabilities, and Obligationsagrees to perform under and be bound by the terms of the Assigned Agreements.

Assumption. Assignee hereby accepts the foregoing assignment and ---------- assumes and agrees to perform all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsLease.

Assumption. Assignee hereby accepts assumes the foregoing assignment obligation of the Assignors under the Contracts and assumes agrees to faithfully perform all of the rights covenants, stipulations and obligations agreements contained therein from the date of Assignor under the Underlying this Assignment and Assumption Agreement with respect to the Assigned Rights and Obligationsforward.

Assumption. Assignee hereby accepts the foregoing such assignment and assumes agrees to assume all of the rights Assignor's rights, duties and obligations of Assignor under the Underlying Agreement with respect to accruing on or after the Assigned Rights and ObligationsEffective Date.

Assumption. Assignee hereby accepts the foregoing assignment of the Rights from Assignor and assumes all of the rights Obligations arising from and obligations after the date of Assignor under this Agreement. Assignee further agrees to be bound by all of the Underlying Agreement with respect to terms, covenants and conditions contained in the Assigned Rights Assumed Documents, and Obligationsagrees that each and every obligation of the Assumed Documents will be performed and carried out as though each of the Assumed Documents had been originally made, executed and delivered by Assignee.

Assumption. Assignee hereby accepts the foregoing assignment assumes and assumes agrees to be bound by all of the rights rights, duties and obligations of Assignor under the Underlying Agreement Assignors with respect to the Assigned Rights Contracts arising on and Obligationsafter the date of this Agreement. Assignee agrees to indemnify, defend and save Assignors and their successors and assigns harmless from all obligations, liabilities and claims against any of them pursuant to the Assigned Contracts.

Assumption. Assignee hereby accepts the foregoing assignment and assumes from Assignor all of Assignor’s right, title and interest in and to the rights Assigned Rights and undertakes the duties, responsibilities and obligations of Assignor with respect to the Assigned Rights. In no event does Assignee accept or assume any other rights, interests or obligations of Assignor under the Underlying Agreement with respect pursuant to the Assigned Rights and Obligationsthis instrument.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignors’ duties and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights Interests (whether such duties and Obligationsobligations arise under the relevant organizational documents of the Partnership or applicable law).

Assumption. Assignee hereby accepts the foregoing assignment and assumes from Assignor all of such right, title, and interest in and to the rights Promissory Note, and accepts and assumes the delegation and agrees to perform and fulfill all the terms, covenants, conditions, and obligations of required to be performed and fulfilled by Assignor under the Underlying Agreement with respect to the Assigned Rights and ObligationsPromissory Note.

Assumption. Assignee hereby accepts the foregoing assignment of, and assumes Assignor’s right, title and interest in and to the Lease and agrees to be bound by and subject to all of the rights terms, covenants and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights and Obligationsconditions thereof.

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to Section 2 above and does hereby assume, and undertake and agree to hereafter perform in accordance with their terms, any and all of the rights obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and Obligationsbe bound by and subject to the terms and conditions of the Registration Rights Agreement.

Assumption. Assignee hereby accepts the foregoing assignment assumes such rights and assumes agrees to pay, satisfy and perform all of the rights and obligations of Assignor under the Underlying Agreement with respect pursuant to the Assigned Rights and ObligationsContracts.

Assumption. Assignee hereby accepts the foregoing assignment and assumes conveyance of the Assigned Rights by Assignor pursuant to Paragraph 1 above and does hereby assume, and undertake and agree to hereafter pay, perform and discharge in accordance with their terms any and all of the rights liabilities, obligations and obligations commitments of Assignor under the Underlying Agreement with respect relating to the Assigned Rights and ObligationsRights.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights Assignor’s duties and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights Interests (whether such duties and Obligationsobligations arise under the relevant organizational documents of the Partnership or applicable law).

Assumption. Assignee hereby accepts the foregoing assignment and transfer and hereby assumes all of the rights liabilities and obligations of Assignor associated with and arising under the Underlying Agreement with respect to the Assigned Rights and ObligationsAgreements.

Assumption. Assignee hereby accepts the foregoing assignment and agrees to be bound by all the terms, conditions, covenants, and provisions of this Assignment, and assumes and agrees to observe, perform, pay, comply with and discharge all of the rights and obligations of Assignor under the Underlying Agreement Assignor, in the place and stead of Assignor, with respect to the Assigned Rights and ObligationsPartnership Interest.

Assumption. The Assignee hereby accepts the foregoing assignment and assumes all transport of the rights Rights Assigned by the Assignee in accordance with paragraph 1 above and obligations assumes, and undertakes and agrees to pay, perform and comply on its terms with each and every liability, obligation and commitment of Assignor under the Underlying Agreement with respect Assignee relating to the Assigned Rights and ObligationsRights. 3.

Assumption. Subject to the terms and conditions set forth in the Contribution Agreement, Assignee hereby accepts Assignor’s assignment of the foregoing assignment Assigned Agreements and hereby assumes all of the rights and obligations of the Assignor under the Underlying Agreement with respect to each of the Assigned Rights and ObligationsAgreements. 3.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of the rights agrees to be bound by and obligations perform each and every obligation of Assignor under the Underlying Agreement with respect to the Assigned Rights Lease and ObligationsOption.

Assumption. By acceptance of this Assignment, Assignee hereby accepts the foregoing assignment agrees to assume and assumes perform any and all of the rights and obligations of Assignor under the Underlying Agreement with respect to the Assigned Rights Contracts from and Obligationsafter the date hereof, and such obligations shall be binding on Assignee, and its successors and assigns.

Assumption. Assignee hereby accepts the foregoing assignment and assumes all of Assignor’s right, title and interest, and acknowledges and agrees to assume, observe, fulfill, perform and keep all the rights covenants, obligations, terms and obligations conditions of Assignor under Assignor, as tenant only, which are set forth in the Underlying Agreement with respect to Lease and arise from and after the Assigned Rights and Obligationsdate of this Assignment.
