Assumption and Performance of Agreement. The Company will require that --------------------------------------- any successor to the business and/or its assets must expressly assume and agree to perform this Agreement as if no such succession had taken place. Failure to do so shall entitle the Employee to compensation from the Company in the same amount and on the same terms to which the Employee would be entitled if the Employee were to terminate his/her employment for Good Reason after a Change in Control, except that the effective date for the succession shall be the Date of Termination.
