Assumed Marginal Income Tax Rate Clause Samples
The Assumed Marginal Income Tax Rate clause defines the specific tax rate that will be used to calculate tax-related adjustments or obligations under the agreement. Typically, this clause sets a fixed percentage or references a standard rate to be applied when determining the tax impact of certain payments, such as gross-ups or indemnities. By establishing a clear and consistent tax rate for these calculations, the clause ensures predictability and fairness in financial arrangements, preventing disputes over which tax rate should apply.
