Common use of Assignor’s Indemnification of Assignee Clause in Contracts

Assignor’s Indemnification of Assignee. Assignor shall and does hereby agree to indemnify, defend and hold Assignee harmless from and against all damages, liabilities, obligations, actions, suits, proceedings and claims, and all costs and expenses, including but not limited to reasonable attorneys’ fees and court costs, incurred by Assignee, its successors, legal representatives and assigns in connection with the SPL O&M Agreement, based upon or arising out of any breach of the SPL O&M Agreement by Assignor occurring prior to the Effective Date.

Assignor shall and does hereby agree to indemnify, defend and hold Assignee harmless from and against all damages, liabilities, obligations, actions, suits, proceedings and claims, and all costs and expenses, including but not limited to reasonable attorneys’ fees and court costs, incurred by Assignee, its successors, legal representatives and assigns in connection with one or both of the SPL O&M AgreementAgreements, based upon or arising out of any breach of one or both of the SPL O&M Agreement Agreements by Assignor occurring prior to the Effective Date.

Assignor shall and does hereby agree to indemnify, defend and hold Assignee harmless from and against all damages, liabilities, obligations, actions, suits, proceedings and claims, and all costs and expenses, including but not limited to reasonable attorneys’ fees and court costs, incurred by Assignee, its successors, legal representatives and assigns in connection with the SPL Creole Trail O&M Agreement, based upon or arising out of any breach of the SPL Creole Trail O&M Agreement by Assignor occurring prior to the Effective Date.

Assignor shall and does hereby agree to indemnify, defend and hold Assignee harmless from and against all damages, liabilities, obligations, actions, suits, proceedings and claims, and all costs and expenses, including but not limited to reasonable attorneys’ fees and court costs, incurred by Assignee, its successors, legal representatives and assigns in connection with the SPL SPLNG O&M Agreement, based upon or arising out of any breach of the SPL SPLNG O&M Agreement by Assignor occurring prior to the Effective Date.
