Common use of Assignor’s Indemnification of Assignee Clause in Contracts

Assignor’s Indemnification of Assignee. Assignor shall and does hereby indemnify Assignee against, and agrees to hold Assignee harmless of and from, all loss, liabilities, obligations, actions, suits, proceedings or claims, and all costs and expenses, including but not limited to reasonable attorney’s fees, incurred in connection with the Lease, based upon or arising out of Assignor’s failure to perform any duty or obligation of the tenant arising or accruing before the Effective Date under the Lease.

Assignor’s Indemnification of Assignee. Assignor shall and does hereby indemnify Assignee againstagree to indemnify, defend and agrees to hold Assignee harmless of from and from, against all lossdamages, liabilities, obligations, actions, suits, proceedings or and claims, and all costs and expenses, including but not limited to reasonable attorney’s feesattorneys’ fees and court costs, incurred by Assignee, its successors, legal representatives and assigns in connection with the LeaseSecondment Agreement, based upon or arising out of Assignor’s failure to perform any duty or obligation breach of the tenant arising or accruing before Secondment Agreement by Assignor occurring prior to the Effective Date under the LeaseDate.

Assignor’s Indemnification of Assignee. Assignor shall and does hereby indemnify Assignee against, and agrees to hold Assignee harmless of and from, all loss, liabilities, obligations, actions, suits, proceedings or claims, and all losses, costs and expenses, including but not limited to reasonable attorney’s attorneys’ fees, incurred in connection with the Leasearising as a result of any act, based upon or arising out of Assignor’s failure to perform any duty omission or obligation of the tenant Assignor arising or accruing before with respect to the Lease and occurring or alleged to have occurred on or prior to the Effective Date under the LeaseDate.

Assignor’s Indemnification of Assignee. Assignor shall and does hereby indemnify Assignee against, and agrees to indemnify, defend, protect and hold Assignee harmless of from and from, against all loss, liabilities, obligations, actions, suits, proceedings or claims, and all costs and expenses, including but not limited to reasonable attorney’s attorneys fees, incurred in connection with the Lease, Contract to the extent accruing prior to the Assignment Effective Date or based upon or arising out of Assignor’s failure to perform any duty breach or obligation alleged breach of the tenant arising Contract by Assignor accruing or accruing before alleged to have accrued prior to the Assignment Effective Date under the LeaseDate.

Assignor’s Indemnification of Assignee. Assignor shall and does hereby indemnify Assignee against, and agrees to hold Assignee harmless of and from, all loss, liabilities, obligations, actions, suits, proceedings or claims, and all losses, costs and expenses, including but not limited to reasonable attorney’s attorneys’ fees, incurred in connection with the Leasearising as a result of any act, based upon or arising out of Assignor’s failure to perform any duty omission or obligation of the tenant Assignor arising or accruing before with respect to the Lease and occurring or alleged to have occurred prior to the Effective Date under the LeaseDate.

Assignor’s Indemnification of Assignee. Assignor shall and does hereby indemnify Assignee against, and agrees to hold Assignee harmless of and from, all loss, liabilities, obligations, actions, suits, proceedings or claims, and all costs and expenses, expenses (including but not limited to reasonable attorney’s attorneys’ fees, incurred in connection with the Lease, based upon or ) arising out of Assignor’s failure liability accruing under the Leases or the Deposits prior to perform any duty or obligation of the tenant arising or accruing before the Effective Date under the LeaseDate.

Assignor’s Indemnification of Assignee.
