Common use of Assignment Terms Clause in Contracts

Assignment Terms. (a) hCentive agrees that, prior to the transfer and assignment of this Agreement to Customer, as used in Exhibit C – the Commonwealth Terms and Conditions, the term “Contractor” shall mean “hCentive,” “Department,” “State” and “the Commonwealth” (except as used in the “Commonwealth Terms and Conditions”) shall mean “Optum” (except in Section 3 of the Commonwealth Terms and Conditions, which shall not be effective prior to transfer and assignment), and “Contract” shall mean this Agreement.
