ASSIGNMENT, SUBLETTING PARTING WITH POSSESSION. The Tenant shall not assign the Lease or sublet or part with possession of all or part of the Demised Premises without the prior written consent of the Landlord, which consent shall not be unreasonably withheld, provided however, such consent to any assignment or subletting shall not relieve the Tenant from its obligations for the payment of rent and for the full and faithful observance and performance of the covenants, terms and conditions herein contained.
