Common use of Assignment Restricted Clause in Contracts

Assignment Restricted. 25.1 This Agreement and the rights, duties and obligations of the Contractor under this Agreement will not be assigned, transferred, encumbered or otherwise alienated in whole or in part by the Contractor without the prior written consent of BCIB, which consent may be arbitrarily withheld, and any attempt by the Contractor to assign, transfer, encumber or otherwise alienate its rights, duties or obligations under this Agreement without such consent will be of no effect. Notwithstanding the above, BCIB will provide its consent to any assignment, transfer, encumbrance or other alienation of this Agreement to the extent necessary to give effect to any permitted assignment, transfer, encumbrance or other alienation of the Construction Contract.
