Common use of Assignment; Register Clause in Contracts

Assignment; Register. The Agent shall maintain, at its address referred to in Subsection 10.2(b) hereof, a copy of each Assignment and Assumption Agreement delivered to it and a register (the "Register") for the recordation of the names and addresses of the Banks, and the amount of the Commitment Amount of each Bank, if any, then in effect, and the amount of the Loans owing to each Bank, from time to time. The entries in the Register shall be conclusive, in the absence of manifest error, and the Borrower, the Agent and the Banks may treat each Person whose name is recorded in the Register as the owner of the Loans for all purposes of this Credit Agreement. The Register shall be available at the office of the Agent set forth in Subsection 10.2(b) hereof for inspection by the Borrower or any Bank at any reasonable time and from time to time upon reasonable prior notice.
