Assignment of Class B Units Clause Samples
Assignment of Class B Units. The Ordinary Partners hereby covenant and agree that they will not sell, assign, transfer, mortgage, pledge, encumber, hypothecate or otherwise dispose of all or any part of its interest in the Partnership to any person, firm, corporation or other entity except as agreed to by the Partners.
Assignment of Class B Units. Manager or an Affiliate may sell, assign, hypothecate, encumber or otherwise transfer any part of its Class B Membership Interest in the Company in its sole and absolute discretion; provided that notwithstanding the foregoing, after any such assignment or transfer Avistone or its Affiliates continues to maintain ownership of at least 50% of the Class B Units.
