Common use of Assignment for Security Clause in Contracts

Assignment for Security. 9.2.1 Notwithstanding any other provision of this Agreement, a party, without the other party’s consent but, if such assigning party is then a borrower of the RUS, only with the consent of the Administrator, may assign, transfer, mortgage or pledge its interest in this Agreement as security (an “Assignment for Security”) for any obligation secured by any indenture, mortgage or similar lien on its system assets without limitation on the right of the secured party to further assign this Agreement, including, without limitation, the assignment by the Purchaser or the Seller to create a security interest for the benefit of the Government, acting through the Administrator, or for the benefit of any third party.
