Common use of Assignment, Etc Clause in Contracts

Assignment, Etc. Except as provided below, no party hereto has the right to assign this Agreement without the prior written consent of the other parties hereto. Notwithstanding the foregoing, (a) the Manager may assign all or part of its rights and obligations hereunder to any affiliate of the Manager that provides services similar to those called for by this Agreement, in which event the Manager will be released of all of its rights and obligations hereunder, and (b) the provisions hereof for the benefit of Indemnitees other than the Manager shall also inure to the benefit of such other Indemnitees and their successors and assigns.
