Assignment Continuation Clause Samples
The Assignment Continuation clause defines the conditions under which a party may transfer its rights or obligations under a contract to another party without interrupting the contract’s validity or performance. Typically, this clause outlines the process for notifying the other party of an assignment, any required consents, and the circumstances in which assignments are permitted, such as in the event of a merger or sale of business assets. Its core function is to ensure that contractual obligations and benefits can continue seamlessly even if the original contracting party changes, thereby providing stability and predictability for all parties involved.
