Assignment by the Phase Developer. The Phase Developer shall not assign, transfer, pledge, mortgage, or otherwise encumber any of its rights or obligations under this Agreement without the prior written consent of MDOT and MDTA. It is acknowledged that under certain circumstances the approval of BPW may also be required.
