Assignment by the Lender. The Lender may at any time without the consent of, or consultation with, the Borrowers and the other Security Parties but with notice to the Borrowers (but with prior notice to and no more than 30 days’ consultation with the Borrowers, if such transfer is to the parties referred to in sub-clauses (b) and (c)), cause all or any part of its rights, benefits and/or obligations under this Agreement and the other Finance Documents to be assigned or transferred to:
