Assignment by RES Sample Clauses

Assignment by RES. RES may assign this Agreement or any of its rights or obligations hereunder (a) to any of its Affiliates in its sole discretion without the requirement of consent from any Company and (b) to any non-Affiliate with consent from each Company, which consent may be withheld in each Company's sole discretion.
