Assignment by NEXTLINK Clause Samples

Assignment by NEXTLINK. NEXTLINK shall not assign or otherwise transfer this Agreement, in whole or in part, to any other party without the prior written consent of MFN. NEXTLINK shall remain secondarily liable for all payments and other performance due under this Agreement after assignment. Without such consent, NEXTLINK shall have the right to assign, sublet, or otherwise transfer this Agreement, in whole or in part, to any parent, subsidiary or affiliate of NEXTLINK which shall control, be under the control of, or be under common control with NEXTLINK, any entity that purchases all or substantially all of the assets of NEXTLINK, or any entity formed by the merger of NEXTLINK and another entity. Any such assignee shall be subject to the terms of this Agreement, including Section 8.3.
