Assignment by Manager. The Manager may assign its interest in this Agreement provided that it proves to the reasonable satisfaction of BoatCo that the assignee is a respectable, responsible and solvent person (which includes a corporation) capable of adequately carrying out the functions of the Manager pursuant to this Agreement.
