Assignment by Collateral Agent Clause Samples
Assignment by Collateral Agent. The Collateral Agent may at any time assign all or any of its rights under this Debenture in accordance with the Loan Documents and the Chargor authorises the Collateral Agent to execute on its behalf any document required to effect the necessary assignment of rights.
Assignment by Collateral Agent. The Collateral Agent may assign or transfer its rights and obligations under this Lenders’ Remedies Agreement to a successor Collateral Agent in accordance with the Senior Financing Agreements without the consent of the Authority, provided that the Collateral Agent delivers to the Authority not less than 10 Business Days prior to such assignment or transfer a notice setting out such contact information regarding the assignee or transferee as the Authority may reasonably require and provided the assignee or transferee is not a Restricted Person.
Assignment by Collateral Agent. The Secured Parties may from time to time assign the Senior Secured Obligations and any portion thereof and/or the Collateral and any portion thereof in accordance with the applicable provisions of the Credit Agreement, the Note Agreements, the Term Loan Agreement and the Intercreditor Agreement, and the assignee shall be entitled to all of the rights and remedies of such Person under this Agreement in relation thereto.
Assignment by Collateral Agent. The Collateral Agent, in its own capacity and not as agent for the Senior Lenders, may assign or transfer its rights and obligations under this Agreement to a successor Collateral Agent in its own capacity and not as agent for the Senior Lenders, in accordance with the Senior Financing Agreements without the consent of the Authority provided that the Collateral Agent delivers to the Authority not less than 10 Business Days prior to such assignment or transfer a notice setting out such contact information regarding the assignee or transferee as the Authority may reasonably require and provided the assignee or transferee is not a Restricted Person. For purposes of this Section 10.2 [Assignment by Collateral Agent], the definition of Restricted Person will not include sub-paragraph (d) of that definition.
Assignment by Collateral Agent. The Collateral Agent and any designee or assignee thereof shall have the right to assign any right, title or interest in the Contract to any person or entity that becomes a successor Collateral Agent or to any person or entity who assumes in writing the obligations of the Assignor under the Contract, and the Counterparty hereby agrees to be bound by any such assignment and assumption. Upon any such assignment and assumption, the Collateral Agent or such designee or assignee shall be relieved of all obligations arising under the Contract thereafter.
