Common use of Assignment and Novation Clause in Contracts

Assignment and Novation. The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 30.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 30.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.247.2. A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Customer (both “Transferee” Transferee in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 41.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 41.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Panel Agreement or any part thereof to: any Other Contracting BodyPanel Customers; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.237.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body Panel Customer shall not, subject to Clause 36.4 37.4 affect the validity of this Framework Panel Agreement and this Framework Panel Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Panel Agreement to a body which is not a Contracting Body Panel Customer or if a body which is not a Contracting Body Panel Customer succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 33.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 33.4 (Termination on Insolvency)) and to Supplier or Framework the Panel Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.252.2. A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 52.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 45.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 45.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 33.3.15.2 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 33.3.15.2 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority CCS may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCCS; or any private sector body which substantially performs the functions of the AuthorityCCS, and the Supplier shall, at the AuthorityCCS’s request, enter into a novation agreement in such form as the Authority CCS shall reasonably specify in order to enable the Authority CCS to exercise its rights pursuant to this Clause 36.235.2. A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 35.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the AuthorityCCS. If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority CCS (both “Transferee” in the rest of this Clause) the right of termination of the Authority CCS in Clause 32.4 31.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 31.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.247.2. A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 47.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 41.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 41.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Dynamic Purchasing System Agreement or any part thereof to: any Other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, ; and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.231.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 31.4 affect the validity of this Framework Dynamic Purchasing System Agreement and this Framework Dynamic Purchasing System Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Dynamic Purchasing System Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 27.5 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 27.5 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off DPS Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting BodyAuthority; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.296. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 98 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 79.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 79.4 (Termination on Insolvency)) and to Supplier or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

Assignment and Novation. The Contracting Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting BodyContracting Authority; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Contracting Authority; or any private sector body which substantially performs the functions of the Contracting Authority, and the Supplier shall, at the Contracting Authority’s request, enter into a novation agreement in such form as the Contracting Authority shall reasonably specify in order to enable the Contracting Authority to exercise its rights pursuant to this Clause 36.247.2. A change in the legal status of the Contracting Authority such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 47.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the Contracting Authority. If the Contracting Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a private sector body which is not a Contracting Body or if a body which is not a Contracting Body succeeds in accordance with Clause 47.2.3 (the Authority (both “Transferee” in the rest of this ClauseClause 47.4) the right of termination of the Contracting Authority in Clause 32.4 41.3 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Dynamic Purchasing System Agreement or any part thereof to: any Other Contracting BodyAuthority; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.2. 92.. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 94. affect the validity of this Framework Dynamic Purchasing System Agreement and this Framework Dynamic Purchasing System Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Dynamic Purchasing System Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 75.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 75.4 (Termination on Insolvency)) and to Supplier or Framework the Dynamic Purchasing System Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee.

If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a private sector body which is not a Contracting Body or if a body which is not a Contracting Body succeeds in accordance with Clause 47.2.3 (the Authority (both “Transferee” in the rest of this ClauseClause 47.4) the right of termination of the Authority Customer in Clause 32.4 41.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 41.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 48.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 42.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 42.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

Assignment and Novation. The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework the Commercial Agreement or any part thereof to: any Other Contracting Bodyother Customer; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.2B35.5(b). A change in the legal status of the Authority such that it ceases to be a Contracting Body Customer shall not, subject to Clause 36.4 B35.5(d) below affect the validity of this Framework the Commercial Agreement and this Framework Commercial Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework the Commercial Agreement to a body which is not a Contracting Body Customer or if a body which is not a Contracting Body Customer succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 B22 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 B22 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

Assignment and Novation. The Supplier shall not assign, novate, novate or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part Contract without the prior written consent of it without Approvalthe Buyer. The Authority Buyer may at its discretion assign, novate or otherwise dispose of any or all of its rights, obligations and liabilities and obligations under this Framework Agreement or Contract and/or any part thereof associated licences to: any Other Contracting Central Government Body; or any to a body other than a Central Government Body or other body established by the Crown or under statute in order substantially to perform (including any private sector body) which performs any of the functions that previously had previously been performed by the Authority; or any private sector body which substantially performs the functions of the AuthorityBuyer, and the Supplier shall, at the AuthorityBuyer’s request, enter into a novation agreement in such form as the Authority Buyer shall reasonably specify in order to enable the Authority Buyer to exercise its rights pursuant to this Clause 36.2. A change in the legal status of the Authority Buyer such that it ceases to be a Contracting Central Government Body shall not, not (subject to Clause 36.4 36.4) affect the validity of this Framework Agreement Contract and this Framework Agreement Contract shall be binding on any successor body to the AuthorityBuyer. If the Authority Buyer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Contract to a body which is not a Contracting Central Government Body or if a body which is not a Contracting Central Government Body succeeds the Authority Buyer (both any such body a “Transferee” in Successor Body”), the rest of this Clause) Supplier shall have the right to terminate for an Insolvency Event affecting the Successor Body identical to the right of termination of the Authority Buyer under limb (k) of the definition of Supplier Termination Event (as if references in Clause 32.4 that limb (Termination on Insolvencyk) shall be available to the Supplier in and the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the TransfereeSuccessor Body).

Assignment and Novation. The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. The Authority CCS may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting BodyBuyer; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCCS; or any private sector body which substantially performs the functions of the AuthorityCCS, and the Supplier shall, at the AuthorityCCS’s request, enter into a novation agreement in such form as the Authority CCS shall reasonably specify in order to enable the Authority CCS to exercise its rights pursuant to this Clause 36.2. A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body Buyer shall not, subject to Clause 36.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the AuthorityCCS. If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Buyer or if a body which is not a Contracting Body Buyer succeeds the Authority CCS (both “Transferee” in the rest of this Clause) the right of termination of the Authority CCS in Clause 32.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.246.2. A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 46.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 Error: Reference source not found (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 Clause. The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.245.2. A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 45.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 39.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 39.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 37.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 33.3 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 33.3 (Termination on Insolvency)) and to Supplier or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 37.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 33.5 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 33.5 (Termination on Insolvency)) and to Supplier or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 32.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 28.3 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 28.3 (Termination on Insolvency)) and to Supplier or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Dynamic Marketplace Agreement or any part of it without Approval. The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Dynamic Marketplace Agreement or any part thereof to: any Other Contracting BodyAuthority; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.237.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 37.4 affect the validity of this Framework Dynamic Marketplace Agreement and this Framework Dynamic Marketplace Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Dynamic Marketplace Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 33.3 (Termination on InsolvencyFinancial Standing) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 33.4 (Termination on Insolvency)) and to Supplier or Framework Supplier, Dynamic Marketplace Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee.

Assignment and Novation. The Supplier Subject to Clause 5.2 the Parties shall not assign, novate, novate or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part without the prior written consent of it without Approvalthe Buyer. The Authority Buyer may assign, novate or otherwise dispose of any or all of its rights, obligations and liabilities and obligations under this Framework Agreement or and/or any part thereof associated licences to: any Other Contracting Central Government Body; or any to a body other than a Central Government Body or other body established by the Crown or under statute in order substantially to perform (including any private sector body) which performs any of the functions that previously had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the AuthorityBuyer’s request, enter into a novation agreement in such form as the Authority shall Buyer reasonably specify in order to enable the Authority Buyer to exercise its rights pursuant to this Clause 36.25. A change in the legal status of the Authority Buyer such that it ceases to be a Contracting Central Government Body shall not, subject to Clause 36.4 not affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the AuthorityBuyer. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which CONTRACTS (RIGHTS OF THIRD PARTIES) ACT 1999 A person who is not a Contracting Body Party to this Agreement has no right under the Contract (Rights of Third Parties) Act 1999 (as amended, updated or if replaced from time to time) to enforce any term of this Agreement but this does not affect any right remedy of any person which exists or is available otherwise than pursuant to that Act. TRANSPARENCY The Parties acknowledge and agree that the Buyer is under a body which is not a Contracting Body succeeds legal duty pursuant to the Authority (both “Transferee” PCR to run transparent and fair procurement processes. Accordingly, the Buyer may disclose the contents of this Agreement to potential bidders in the rest FCP Process, for the purposes of this Clause) the right of termination of the Authority transparency and in Clause 32.4 (Termination on Insolvency) shall be available order to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transfereeevidence that a fair procurement process has been followed.

Assignment and Novation. The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.274. A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 76 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 57.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 57.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. The Authority CCS may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting BodyBuyer; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCCS; or any private sector body which substantially performs the functions of the AuthorityCCS, and the Supplier shall, at the AuthorityCCS’s request, enter into a novation agreement in such form as the Authority CCS shall reasonably specify in order to enable the Authority CCS to exercise its rights pursuant to this Clause 36.226.2. A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body Buyer shall not, subject to Clause 36.4 26.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the AuthorityCCS. If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Buyer or if a body which is not a Contracting Body Buyer succeeds the Authority CCS (both “Transferee” in the rest of this ClauseClause 26.4) the right of termination of the Authority CCS in Clause 32.4 22.2 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 22.2 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Supplier shall not assign, novate, Sub-Contract or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement Call-Off Contract or any part of it without Approval. The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call-Off Contract or any part thereof to: any Other other Contracting BodyAuthority; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.2. 44.2 A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 44.4 affect the validity of this Framework Agreement Call-Off Contract and this Framework Agreement Call-Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call-Off Contract to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 38.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 38.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Call-Off Guarantor in the definition of Insolvency Event were references to the Transferee).

The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Dynamic Purchasing System Agreement or any part of it without Approval. The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Dynamic Purchasing System Agreement or any part thereof to: any Other Contracting BodyAuthority; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.292. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 94 affect the validity of this Framework Dynamic Purchasing System Agreement and this Framework Dynamic Purchasing System Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Dynamic Purchasing System Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 75.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 75.4 (Termination on Insolvency)) and to Supplier or Framework the Dynamic Purchasing System Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.232.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 32.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 28.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 28.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority Customer may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: any Other other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCustomer; or any private sector body which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the AuthorityCustomer’s request, enter into a novation agreement in such form as the Authority Customer shall reasonably specify in order to enable the Authority Customer to exercise its rights pursuant to this Clause 36.237.2. A change in the legal status of the Authority Customer such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 37.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body to the AuthorityCustomer. If the Authority Customer assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Customer (both “Transferee” in the rest of this Clause) the right of termination of the Authority Customer in Clause 32.4 31.3 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 31.3 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

Assignment and Novation. The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: any Other Contracting Body; or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a any such assignment, novation agreement or disposal documentation in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 36.235.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 36.4 35.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 31.3 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 31.3 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 36.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 32.4 75.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 32.4 75.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.
