ASSIGNMENT 10. 1 This Agreement may not be assigned by either party without the written consent of the other party, which consent may not be unreasonably withheld.
ASSIGNMENT 10. 1.1 The Company shall not, without the prior written consent of Cauwill, assign, transfer, charge, sub- contract or deal in any other manner with all or any of its rights or obligations under this Agreement except that Company may novate this Agreement to a) a third party acquirer or all or substantially all of the assets of the Company or b) to an Affiliate.
ASSIGNMENT 10. 2.1 Subject to Clause 10.2.2 and Clause 10.2.3, this Agreement shall not be assigned by any Party without the prior written consent of the others, save that any Party: (1) may assign this Agreement in whole or in part and delegate its duties hereunder to its Affiliate or Affiliates without such consent; and (2) may assign its rights and obligations to a successor (whether by merger, stock sale, consolidation, reorganisation or other similar event) or purchaser of all or substantially all of its assets relating to such Party's technology related to this Agreement, provided that such successor or purchaser has agreed in writing to assume all of such Party's rights and obligations hereunder and a copy of such assumption is provided to the other Parties.
ASSIGNMENT 10. 3.1 The Publisher may only assign a right under this agreement with Contributor’s prior written consent. This clause means that if the Contributor agrees, the Publisher can give someone else the rights to the Work e.g. another publishing company.
