Common use of Assignee’s Indemnification of Assignor Clause in Contracts

Assignee’s Indemnification of Assignor. Assignee shall and does hereby indemnify Assignor against, and agrees to hold Assignor harmless of and from, all liabilities, obligations, actions, suits, proceedings or claims, and all losses, costs and expenses, including but not limited to reasonable attorneys’ fees, arising as a result of any act, omission or obligation of Assignee arising or accruing with respect to the Lease and occurring or alleged to have occurred after the Effective Date.

Assignee’s Indemnification of Assignor. Assignee shall and does hereby indemnify Assignor againstagree to indemnify, defend and agrees to hold Assignor harmless of from and fromagainst all damages, all liabilities, obligations, actions, suits, proceedings or and claims, and all losses, costs and expenses, including but not limited to reasonable attorneys’ feesfees and court costs, incurred by Assignor, its successors, legal representatives and assigns in connection with the Secondment Agreement, based upon or arising as a result out of any act, omission or obligation breach of the Secondment Agreement by Assignee arising or accruing with respect to the Lease occurring on and occurring or alleged to have occurred after the Effective Date.

Assignee’s Indemnification of Assignor. Assignee shall and does hereby indemnify Assignor againstagree to indemnify, defend and agrees to hold Assignor harmless of from and fromagainst all damages, all liabilities, obligations, actions, suits, proceedings or and claims, and all losses, costs and expenses, including but not limited to reasonable attorneys’ feesfees and court costs, incurred by Assignor, its successors, legal representatives and assigns in connection with the SPL O&M Agreement, based upon or arising as a result out of any act, omission or obligation breach of the SPL O&M Agreement by Assignee arising or accruing with respect to the Lease occurring on and occurring or alleged to have occurred after the Effective Date.

Assignee’s Indemnification of Assignor. Assignee shall and does hereby indemnify Assignor against, and agrees to hold Assignor harmless of and from, all liabilities, obligations, actions, suits, proceedings or claims, and all losses, costs and expenses, expenses (including but not limited to reasonable attorneys’ fees, ) arising as a result out of any act, omission liability accruing under the Leases or obligation of Assignee arising the Deposits on or accruing with respect to the Lease and occurring or alleged to have occurred after the Effective Date.

Assignee’s Indemnification of Assignor. Assignee shall and does hereby indemnify Assignor against, and agrees to hold Assignor harmless of and from, all loss, liabilities, obligations, actions, suits, proceedings or claims, and all losses, costs and expenses, including but not limited to reasonable attorneys’ attorney’s fees, incurred in connection with the Lease, based upon or arising as a result out of Assignee’s failure to perform any act, omission duty or obligation of assumed by Assignee arising or accruing with respect to under the Lease from and occurring or alleged to have occurred after the Effective Date.

Assignee’s Indemnification of Assignor. Assignee shall and does hereby indemnify Assignor against, and agrees to hold Assignor harmless of and from, all liabilities, obligations, actions, suits, proceedings or claims, and all losses, costs and expenses, expenses (including but not limited to reasonable attorneys’ fees, ) arising as a result out of any act, omission liability accruing under the Assumed Service Contracts on or obligation of Assignee arising or accruing with respect to the Lease and occurring or alleged to have occurred after the Effective Date.
