ASSIGNEE'S ACKNOWLEDGEMENT. In accordance with the requirements of Section 1.14 of the South OPA, Assignee hereby acknowledges that it has reviewed the South OPA and, subject to and excluding the Excluded Obligations and the Retained Obligations, agrees to be bound by the South OPA and all conditions and restrictions applicable to the Transferred Property, including, without limitation, all conditions and restrictions contained in the Plan Documents and the Development Entitlements that are applicable to the Transferred Property and that by their terms survived the issuance of the Certificate of Completion.
ASSIGNEE'S ACKNOWLEDGEMENT. The Assignee hereby acknowledges that it has received a copy of the Credit Agreement and the Documents and takes cognizance of the provisions thereof. The Assignee further acknowledges that it has conducted its own independent investigation as to the financial condition of the Borrower and the Guarantors.
