Assigned Patent Clause Samples
The Assigned Patent clause defines the transfer of ownership or rights in a specific patent from one party to another, typically within the context of a contract or agreement. This clause specifies which patents are being assigned, the effective date of the assignment, and any conditions or limitations on the transfer. For example, it may clarify whether the assignment includes all rights to make, use, and sell inventions covered by the patent, or if certain rights are retained by the assignor. Its core practical function is to ensure legal clarity and certainty regarding patent ownership, thereby preventing future disputes over intellectual property rights.
Assigned Patent. As of the Effective Date, Concert is the sole owner of the entire right, title and interest in and to the Assigned Patent. Concert represents that it has the full and legal rights and authority to assign to Auspex the Assigned Patent.
Assigned Patent. The Sellers shall use their reasonable endeavours to obtain from the persons listed in paragraph 12.10 of the Disclosure Letter an assignment of all rights to the patent detailed in paragraph 12.10 of the Disclosure Letter (the “Assigned Patent”) and all rights to apply for patents anywhere in the world based on the invention underlying the Assigned Patent.
