Common use of Assignability of Option Clause in Contracts

Assignability of Option. The Optionee may sell, assign or otherwise transfer the Option or any of its rights under this Agreement to any Affiliate in the Optionee’s discretion. In the event that the Optioned Shares are transferred from the Optionor by operation of law (e.g., by dissolution or levy) or transferred to an Affiliate of the Optionor prior to the Termination Date, such transfer of the Optioned Shares shall be subject to the terms of this Option.
