Common use of Assets; Liens Clause in Contracts

Assets; Liens. As of the date of the most recently delivered Financial Statements, the Borrower has no assets other than those specified in such Financial Statements and the Borrower is not engaged in any activity other than (x) investing in the Permitted Investments and (y) entering into and performing its obligations under the Loan Documents, and activities incidental thereto. The assets of the Borrower are subject to no Liens, other than the Permitted Liens. The Borrower has not made or consented to any registrations, filings or recordations in any jurisdiction evidencing a security interest in any of the Collateral or any of its other assets including the filing of a register of mortgages, charges and other encumbrances or filings of UCC-1 financing statements, other than with respect to Liens granted to the Lender under the Collateral Documents.
