Artificial Intelligence. (a) Section 3.7of the Company Disclosure Letter sets forth a true, correct and complete list of all third-party AI Technology used by the Company or any of its Subsidiaries in connection with the operation of their respective businesses (each, an “AI Tool”). (b) The Company and its Subsidiaries have obtained and complied with all licenses, consents, agreements, terms, conditions and written instructions and permissions applicable to each AI Tool. (c) Neither the Company nor any of its Subsidiaries has used or employed any AI Tool in a manner that would qualify or limit the ownership by the Company or its Subsidiaries of, or otherwise impair the ability of the Company or its Subsidiaries to use, commercialize or otherwise exploit, the Owned IP or the Company Products. The Company has made available to SPAC true, correct and complete copies of all Company AI Policies. (d) No Company Product incorporates AI Technology developed internally by or on behalf of the Company or any of its Subsidiaries.
