Articles; Bylaws. The Lender shall have received copies of the Articles or Certificate of Incorporation and Bylaws of the Borrower certified by its corporate secretary or secretary, together with Certificate of Good Standing from any jurisdiction where the nature of its business or the ownership of its properties requires such qualification except where the failure to be so qualified would not have a Material Adverse Effect.
