Common use of Articles; Bylaws Clause in Contracts

Articles; Bylaws. The Agent shall have received copies of the Articles or Certificates of Incorporation and Bylaws or, if applicable, certificate of formation and operating agreement of each of the Borrowers, certified by the Corporate Secretary or Assistant Secretary of each such entity; together with a Certificate of Good Standing for each Borrower from any jurisdiction where the nature of its business or the ownership of its properties requires such qualification except where the failure to be so qualified would not have a material adverse effect on the business, operations, assets or condition (financial or otherwise) of the Borrowers and their Subsidiaries taken as a whole.
