Archaeological Condition. If, in the reasonable opinion of either party, there are significantly prohibitive archaeological impediments (cultural, heritage, financial, operational or otherwise), either party shall be entitled to terminate the LOI and related negotiations and vacate the deal by giving written notice to the other on or before August 15, 2009, and neither party shall have any claims against the other for such abandonment. If such notice is not given within this timeframe, CC/Newco accept the Subleased Premises “as-is” with no City/TRCA liability whatever.
