ARBIT RATION. Any controversy or dispute arising out of, or in connection with this Agreement, its interpretation, performance, or termination, which the Parties are unable to resolve within a reasonable time after written notice by one Party to the other of the existence of such controversy or dispute, may be submitted to arbitration by either Party and if so submitted by either Party, shall be finally settled by arbitration conducted in accordance with the rules of conciliation and arbitration of the U.S. Chamber of Commerce in effect on the date hereof. Any such arbitration shall take place in the City of Boise, Idaho or Seattle, Washington. Such arbitration shall be conducted in the English language and the arbitrators shall apply the laws of the Country of the United States.
