APX Closing Sample Clauses

APX Closing. The parties hereto acknowledge that, as of the Effective Date, the Sellers, pursuant to the APX Purchase Agreement, have not consummated the purchase of the APX Limited Assets, the APX-Germany Stock and the APX-Brazil Stock. Accordingly, any transfer of any such assets or capital stock contemplated pursuant to the terms of this Agreement shall be subject to the consummation of their transfer to the Sellers pursuant to and in accordance with the terms of the APX Purchase Agreement.
