Approvals of Third Parties. The Company and the Stockholders shall use their best efforts to secure, as soon as practicable after the date hereof, all necessary approvals and consents of third parties to the consummation of the transactions contemplated hereby, including, without limitation, all necessary approvals and consents required under any real property and personal property leases; provided, however, that this covenant shall not require the Company or the Stockholders to make any material expenditures that are not expressly set forth in this Agreement or otherwise contemplated herein.
