Approvals, Consents and Waivers. The Company shall have obtained or made any and all Approvals necessary for the consummation of the transactions contemplated by this Agreement and the other Transaction Documents, each of which shall be in full force and effect as of the Closing, and in each case, in proper form and without imposing or proposing the imposition of any terms or conditions which, individually or in the aggregate, could be reasonably expected to materially impair the Company’s ability to consummate, or prevent or materially delay, the transactions contemplated by this Agreement and the other Transaction Documents.
