Approval of Counsel to the Company and the Sellers. All actions and proceedings hereunder and all documents and other papers required to be delivered by Buyer hereunder or in connection with the consummation of the transactions contemplated hereby, and all other related matters, shall have been approved by Xxxxx Day, counsel to the Company and the Sellers, as to their form and substance, such approval not to be unreasonably withheld.
