Approval by Investment Committee/Governing Body. Each Investor’s investment committee (including any relevant governing body) shall have approved the execution of this Agreement and the other Transaction Documents to which it is a party and any transactions with respect to the Closing contemplated hereby and thereby, and such approval shall not have been rescinded, revoked or materially amended.
