Appointment of the Servicer. (a) The servicing, administering and collection of the Pool Receivables shall be conducted by the Person so designated from time to time as the Servicer in accordance with this Section. Until the Administrator gives notice to WESCO (in accordance with this Section 4.1) of the designation of a new Servicer, WESCO is hereby designated as, and hereby agrees to perform the duties and obligations of, the Servicer pursuant to the terms hereof. Upon the occurrence of a Termination Event, the Administrator may (with the consent of the Majority Purchasers) or shall (at the direction of the Majority Purchasers) designate as Servicer any Person (including itself) to succeed WESCO or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Appointment of the Servicer. Upon the occurrence of a Termination Event, the Administrator may (with the consent of the Majority PurchasersPurchaser Agents) or shall (at the direction of the Majority PurchasersPurchaser Agents) terminate Targa as Servicer and designate as Servicer any Person (including itself) to succeed WESCO Targa or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Until the Administrator Administrative Agent gives notice to WESCO Sponsor (in accordance with this Section 4.19.01) of the designation of a new Servicer, WESCO Sponsor is hereby designated as, and hereby agrees to perform the duties and obligations of, the Servicer pursuant to the terms hereof. Upon the occurrence of a Termination Eventan Event of Default, the Administrator Administrative Agent may (with the consent of the Majority PurchasersGroup Agents) or and shall (at the direction of the Majority PurchasersGroup Agents) designate as Servicer any Person (including itself) to succeed WESCO Sponsor or any successor Servicer, on the condition in each case that any such Person so designated shall agree in writing to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence of a Termination Eventan Event of Termination, the Administrator Administrative Agent may (with the consent of the Majority Purchasers) or and shall (at the direction of the Majority Purchasers) designate as Servicer any Person (including itself) to succeed WESCO Centric or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence of a Termination Event, the Administrator may (with the consent of the Majority Purchasers) or shall (at the direction of the Majority Purchasers) designate as Servicer any Person (including itself) to succeed WESCO Greetings or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence of a Termination Eventan Event of Termination, the Administrator Administrative Agent may (with the consent of the Majority Purchasers) or and shall (at the direction of the Majority Purchasers) designate as Servicer any Person (including itself) to succeed WESCO DFBG or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence of a Termination Eventan Event of Default, the Administrator Administrative Agent may (with the consent of the Majority PurchasersLenders) or and shall (at the direction of the Majority PurchasersLenders) designate as Servicer any Person (including itself) to succeed WESCO Volt or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence of a Termination Event, the Administrator may (with the consent of the Majority PurchasersPurchaser Agents) or shall (at the direction of the Majority PurchasersPurchaser Agents) designate as Servicer any Person (including itself) to succeed WESCO Patriot or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Appointment of the Servicer. Until the Administrator gives notice to WESCO (Meritor in accordance with this Section 4.1) of the designation of a new Servicer, WESCO Meritor is hereby designated as, and hereby agrees to perform the duties and obligations of, the Servicer pursuant to the terms hereof. Upon the occurrence and during the continuation of a Termination Event, the Administrator may (with the consent of the Majority PurchasersPurchaser Agents) or and shall (at the direction of the Majority PurchasersPurchaser Agents) designate as Servicer any Person (including itself) to succeed WESCO Meritor or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence of a Termination Event, the Administrator may (with the consent of the Majority Purchasers) Purchasers or shall (at the direction of the Majority Purchasers) designate as Servicer any Person (including itself) to succeed WESCO BPI or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuance of a Termination EventServicer Default, the Administrator may (with the consent of the Majority PurchasersPurchaser Agents) or shall (at the direction of the Majority PurchasersPurchaser Agents) designate as Servicer any Person (including itself) to succeed WESCO Presidio or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Termination Event, the Administrator Administrative Agent may (with the consent of the Majority Purchasers) or shall (at the direction of the Majority Purchasers) designate as Servicer any Person (including itself) to succeed WESCO Axxxxxxxx or any successor Servicer, on the condition in each case that any such Person so designated shall agree have agreed in writing to perform the duties and obligations of the Servicer pursuant to the terms hereofhereof and under the terms of the Intercreditor Agreement.
