Common use of Appointment and Authorization of Administrative Agent and Other Agents Clause in Contracts

Appointment and Authorization of Administrative Agent and Other Agents. Each Lender hereby appoints JPMorgan Chase Bank, N.A. as the Administrative Agent and the Collateral Agent under the Credit Documents and hereby authorizes the Administrative Agent and the Collateral Agent to take such action as the Administrative Agent and the Collateral Agent on each of its behalf and to exercise such powers under the Credit Documents as are delegated to the Administrative Agent and the Collateral Agent by the terms thereof, together with such powers as are reasonably incidental thereto. None of the other Lenders appointed as one of the Other Agents shall have any duties, responsibilities, or obligations hereunder in such capacity.
