Applicable regime. All the Payment Instruments provided by Kutxabank to the Client, at the request of the latter, will be subject to the regime and limits foreseen in this Framework Contract and, in particular, as laid down in the Contract issued for the specific Payment Instrument. For the purposes provided in this Framework Contract "Payment Instrument" means any personalised device or set of procedures agreed to by Kutxabank and the Client, and used by the latter to initiate a payment order.
Applicable regime. The Parties agree that the indemnification stipulations contained hereunder expressly substitute and exclude (i) the right to terminate this Agreement contained in Article 1,124 of the Spanish Civil Code or in any other applicable legislation (except for the termination rights set out in Clause 5.5), save in case of fraud or wilful misconduct (dolo); and (ii) the application of the legal regime on indemnification due to (a) hidden defects, in particular, Article 1,532 of the Spanish Civil Code, and (b) an eviction event (saneamiento por evicción), regulated in articles 1,475 to 1,483 of the Spanish Civil Code, expressly submitting to the terms of this Agreement and, in particular the provisions of this Clause.
Applicable regime. 1. The concessionaire undertakes to submit the engagement of a management company to the authorization of the Chief Executive and to submit the draft of the management contract for the latter’s approval.
2. In any circumstances, the concessionaire can only pay the management company the management fee, and cannot, by any form, share with the latter the revenue from the casinos or pay them commissions.
3. The provisions of Law no. 16/2001 and other applicable legislation is applicable to the management company.
