Common use of Applicable Orders Clause in Contracts

Applicable Orders. No violation of, conflict with, or contravention of, any of the judgments, orders and decrees affecting the Company or any of its subsidiaries, other than a violation of, conflict with, or contravention of, any of the judgments, orders and decrees listed on Schedule IV to Exhibit B hereto, would be reasonably likely to result in a Material Adverse Change. The Company acknowledges that the Underwriters and, for purposes of the opinions to be delivered pursuant to Section 5 hereof, counsel to the Company and counsel to the Underwriters, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
