Common use of Applicable Law, Venue and Jurisdiction Clause in Contracts

Applicable Law, Venue and Jurisdiction. This Agreement shall be governed by, and construed in accordance with, the laws of the State of California. Company agrees and consents to the exclusive jurisdiction of the courts of the State of California for all purposes regarding this Agreement and further agrees and consents that venue of any action brought hereunder shall be exclusively in the County of San Diego.

Any action by a party to this Agreement to enforce or interpret the laws of terms hereof shall be maintained in the State San Diego County Superior Court or the Federal District Court for the Southern District of California. Company agrees and LICENSEE consents to the exclusive jurisdiction of the courts of foregoing and agrees that this Agreement has been entered into in the State of California for all purposes regarding this Agreement and further agrees and consents that venue which constitutes sufficient minimum contacts with CORPORATION to permit the Courts of California to assert jurisdiction over LICENSEE in any action brought hereunder shall be exclusively in the County of San Diegoby CORPORATION.
